"Agreement" means this Terms & Conditions document and any service-specific agreements or statements of work.

"Content" includes all materials, data, information, and communications provided by you or us.

2Acceptance of Terms

By accessing Spectrova's website or services, you confirm that you are at least 18 years old and have the legal capacity to enter into this agreement. If you do not agree to these terms, you must cease using our services immediately.

3Service Description

Spectrova provides specialized AI solutions for:

• Machine learning models for insurance underwriting support
• AI systems for content moderation and classification
• Consultative compliance mapping and AI governance assessment

Services are delivered according to specific engagement timelines and deliverables outlined in project proposals or statements of work.

4Pricing and Payment

4.1 Service Fees

Service fees are established based on the specific solution selected and engagement scope, as detailed in our proposal or statement of work. Current indicative pricing:

• Insurance Underwriting: HKD 13,600
• Content Moderation: HKD 8,200
• Compliance Mapping: HKD 5,000

4.2 Payment Terms

Invoices are issued at the beginning of engagement, with payment due within 30 days. Late payment may result in suspension of services.

4.3 Refund Policy

Refunds are provided only if services are not delivered or substantially fail to meet agreed specifications. Refund requests must be submitted within 30 days of service completion.

5User Responsibilities

When using our services, you agree to:

• Provide accurate and complete information
• Maintain confidentiality of any login credentials or access information
• Use services only for lawful, intended purposes
• Comply with all applicable laws and regulations
• Not attempt to gain unauthorized access to our systems
• Not disrupt or interfere with service delivery

6Intellectual Property

Spectrova retains all intellectual property rights in our methodologies, tools, and pre-existing materials. Your license to use these materials is limited to the engagement scope and is non-exclusive and non-transferable.

6.2 Your IP Rights

You retain all intellectual property rights in data and content you provide. By providing materials to us, you grant us a limited license to use them for service delivery purposes.

6.3 Work Product

Models, documentation, and deliverables created during engagement are owned by Spectrova but licensed to you for use according to engagement terms.

7Data Protection and Privacy

We handle all data according to our Privacy Policy and applicable data protection regulations. You are responsible for ensuring your data practices comply with relevant laws.

Data provided by you is processed securely and retained only as long as necessary to deliver services and comply with legal obligations.

8Disclaimers

8.1 Service Availability

While we work to maintain service availability, we do not guarantee uninterrupted access to our website or systems.

8.2 No Guarantees

Services are provided on an "as is" basis. We do not warrant that services will be error-free or completely secure. Machine learning models are probabilistic and may make errors. User judgment remains essential in all decision-making.

8.3 Professional Judgment

AI systems are designed to support human decision-making, not replace it. You remain responsible for final decisions and their consequences.

9Limitation of Liability

To the maximum extent permitted by law, Spectrova shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, or business opportunities
• Data loss or corruption
• Any damages exceeding the total fees paid for services in the preceding 12 months

This limitation applies regardless of the legal theory on which the claim is based.

10Indemnification

You agree to indemnify and hold harmless Spectrova from any claims, damages, losses, or expenses arising from:

• Your use of services in violation of these terms
• Your violation of applicable laws
• Infringement of third-party rights by your materials or use

11Termination

11.1 Termination by You

You may terminate engagement by providing 30 days written notice, though fees for completed work remain due.

11.2 Termination by Us

We may terminate services if you breach material terms and fail to cure within 15 days of notice, or if continuing the engagement would violate applicable law.

12Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of Hong Kong, without regard to conflicts of law principles.

12.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of Hong Kong courts for any legal proceedings.

12.3 Informal Resolution

Before pursuing legal action, the parties agree to attempt good faith negotiation to resolve disputes.

13General Provisions

13.1 Entire Agreement

These Terms, along with any applicable service agreements, constitute the entire agreement regarding our services.

13.2 Modifications

Spectrova may update these Terms periodically. Continued use of services following updates constitutes acceptance.

13.3 Severability

If any provision is found invalid or unenforceable, the remaining provisions shall remain in effect.

These Terms & Conditions are effective as of January 2025.
